Terms of Service

01. Acceptance of Terms

By browsing our website, booking an appointment, commissioning a proposal, or entering into a service agreement with Brand Mint ("Brand Mint", "we", "us", or "our"), you acknowledge and agree to comply with and be bound by these Terms of Service. If you are entering into this agreement on behalf of a corporation, startup, or other legal entity, you represent that you possess the authority to bind such entity.

02. Scope of Agency Services

Brand Mint provides comprehensive creative consultancy, public relations (PR), digital engineering, brand identity systems, high-production commercial filmmaking, and strategic social growth services. The specific parameters, timelines, and deliverables for each engagement are defined in a mutually agreed Statement of Work (SOW) or Project Proposal.

03. Intellectual Property & Usage Rights

We believe in straightforward, transparent IP ownership:

• Final Client Deliverables: Upon full settlement of all associated project invoices, complete ownership and commercial usage rights for the final approved creative assets (logos, master visual assets, launch films, approved copy) transfer to the client.
• Preliminary Concepts & Unused Works: All exploratory concepts, pitches, draft treatments, wireframes, and unused design directions remain the sole property of Brand Mint.
• Portfolio & Agency Recognition: Brand Mint reserves the perpetual right to feature completed projects, design systems, press results, and case studies in our agency portfolio, award entries, social channels, and promotional materials.

04. Client Obligations & Asset Approvals

Delivering headline-worthy work requires disciplined collaboration. The client agrees to:

• Provide timely feedback, approvals, and raw assets (e.g. brand collateral, high-resolution source media, legal disclosures) within established production milestones.
• Ensure that all materials provided to Brand Mint do not infringe upon any third-party copyrights, trademarks, or proprietary rights.
• Designate an authorized decision-maker to sign off on final creative proofs, press statements, and media disbursements.

05. PR, Press Embargoes & Media Guarantees

While Brand Mint leverages an extensive global network of journalists, publications, and media partners to orchestrate high-impact PR, editorial coverage decisions remain at the independent discretion of target publications and editors. We guarantee rigorous pitching, storytelling precision, and maximum media positioning, but cannot warrant editorial publishing dates or verbatim journalistic content outside sponsored placements.

06. Invoicing, Retainers & Payments

Unless expressly stipulated in your SOW:

• Project-based engagements require an initial deposit prior to kickoff, with remaining payments indexed to defined milestone approvals or delivery.
• Monthly agency retainers are billed in advance on the 1st of each calendar month.
• Late payments exceeding 15 days past due may result in suspension of creative production, active ad spend campaigns, or scheduled press releases.

07. Revisions & Scope Changes

Each project phase incorporates defined revision rounds as specified in the SOW. Substantial modifications that pivot away from approved creative briefs, or additional deliverables requested after milestone sign-off, will be scoped and estimated as a formal Change Order.

08. Limitation of Liability

To the maximum extent permitted by applicable law, Brand Mint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business goodwill. Our aggregate liability arising under any engagement shall not exceed the total fees paid by the client under the applicable Statement of Work in the preceding three-month period.

09. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law. The courts located in Jharkhand, India shall have exclusive jurisdiction over any dispute arising under these Terms.
